Account Eligibility and Responsibilities

You are not prohibited by law from using PairUp’s services.
You are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country by the U.S. Government.
You are not on a list of individuals prohibited from conducting business with the United States.
You have not been convicted of a felony or any crime involving violence or sexual offenses unless you have received clemency for a non-violent crime and PairUp determines you pose no threat to other users.
You are not required to register as a sex offender.
You will only maintain one PairUp account.
You comply with all applicable laws, including privacy laws, intellectual property laws, and anti-spam laws.
You treat other users respectfully.

Account Registration and Subscriptions
To access certain features of the Services, you may be required to create an account. You agree to:
Provide accurate, current, and complete information during the registration process.
Maintain the confidentiality of your account information, including your password.
Notify us immediately of any unauthorized use of your account or any other breach of security.
Subscriptions automatically renew unless canceled.

User Conduct
You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not:
Post or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
Impersonate any person or entity or misrepresent your affiliation with any person or entity.

User Content

You grant PairUp a non-exclusive license to use, reproduce, and display your User Content to improve PairUp’s services.
You will not upload content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, vulgar, sexually explicit, invasive of another’s privacy, hateful, or racially, ethnically, or otherwise objectionable.
PairUp reserves the right to remove or block any User Content it deems inappropriate.

Intellectual Property
All intellectual property rights, including trademarks, service marks, and copyrights related to our Services, are the property of PairUp or our licensors. You may not use, copy, modify, or distribute any content from our Services without our prior written consent.

Termination
We reserve the right to terminate or suspend your account or access to the Services at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users or third parties.
Upon termination, your right to use the Services will immediately cease.

PairUp makes no representations or warranties of any kind, express or implied, regarding the operation of the Services, availability, or the information, content, materials, or products included therein. You agree that your use of the Services is at your own risk.

Limitation of Liability
To the fullest extent permitted by law, PairUp shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or revenues, arising from your use of or inability to use the Services, even if we have been advised of the possibility of such damages.

Indemnification
You agree to indemnify and hold harmless PairUp, its affiliates, licensors, and service providers from any claims, liabilities, damages, costs, or expenses, including reasonable attorneys’ fees, arising out of your use of the Services, your violation of these Terms, or your infringement of any intellectual property or other rights of any person or entity.

Changes to Terms
We may modify these Terms from time to time. We will notify you of any significant changes by posting the updated Terms on our website. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
